長期保有株主優待制度の新設に関するお知らせ / Notice Regarding the Establishment of a Long-Term Shareholder Benefit Program

当社は、株主の皆様の日頃からのご支援に感謝するとともに、当社株式への投資の魅力を高め、より多くの方々に当社株式を保有していただくことを目的として株主優待制度を導入しております。
この度、当社株式を長期にわたり保有し、さらに当社グループの店舗をご利用いただいている株主様にさらなる感謝の意を表するとともに、将来にわたって当社の成長をご支援いただきたいという思いから、通常の株主優待制度に加え、長期保有株主優遇制度を新設することといたしました。
１年、３年継続保有株主様で、「株主ご優待券を選択」された株主様を対象とします。

（継続保有期間の条件）
①　継続保有期間1年以上
３月末日、６月末、９月末日、12月末日の株主名簿に、同一の株主番号で、５回以上連続して記録されることといたします。
②　継続保有期間３年以上
３月末日、６月末、９月末日、12月末日の株主名簿に、同一の株主番号で13回以上連続して記録されることといたします。
③　それぞれの条件を満たした株主に、直近基準日の保有株数に応じて、贈呈します。
④　継続保有期間１年以上の事例
2025年9月末400株、2025年12月末100株、2026年3月末100株、2026年6月末100株、2026年9月末500株で5回連続同一株主番号の株主様の場合、2026年9月末基準の株主優待で株主ご優待券を選択されますと、従来の制度による25枚（2,500円分）に加えて1年継続優遇10枚の合計35枚（3,500円分）の株主ご優待券を贈呈します。
（注）基準日とは
株主総会での議決権や配当金を受け取る権利を行使できる株主を確定するために、会社が定めた特定の日のことです。その日に株主名簿に記載・記録されている株主（基準日株主）が権利を持ちます。当社の場合、３月末、９月末の年２回がそれにあたります。
（注）継続保有期間１年以上
基準日からさかのぼって１年以上を指します。各基準日から見て、毎回、１年以上に該当するか判断します。１年以上経過しても３年経過するまでは、それ以上加算されることはありません。
（注）継続保有期間３年以上
基準日からさかのぼって３年以上を指します。各基準日から見て、毎回、３年以上に該当するか判断します。３年以上経過してもそれ以上加算されることはありません。

Axial Retailing Inc. (hereinafter referred to as “the Company”) has introduced a shareholder benefit program to express its appreciation to shareholders for their ongoing support, enhance the attractiveness of investing in the Company’s shares, and encourage more investors to hold its shares. The Company has decided to establish a new long-term shareholder benefit program in addition to the existing shareholder benefit program. This is to further reward shareholders who have held the Company’s shares over an extended period and who utilize our group stores, and to encourage continued support for the Company’s future growth.
This program applies to shareholders who have held shares continuously for one year or three years and have specifically selected Shareholders Benefit Coupons.

<Conditions for Continuous Holding Period>

3.1. Continuous holding period of one year or more
Shareholders must be recorded in the shareholder register under the same shareholder number for at least five consecutive record dates (March 31, June 30, September 30, and December 31).
3.2. Continuous holding period of three years or more
Shareholders must be recorded in the shareholder register under the same shareholder number for at least thirteen consecutive record dates (March 31, June 30, September 30, and December 31).
3.3. Shareholders meeting the above conditions will receive benefits based on their shareholding as of the most recent record date.
3.4. Example of one-year continuous holding period
A shareholder who is recorded under the same shareholder number for five consecutive record dates—for example: 400 shares as of September 2025; 100 shares as of December 2025; 100 shares as of March 2026; 100 shares as of June 2026; and 500 shares as of September 2026—and who selects Shareholders Benefit Coupons for the September 2026 shareholder benefit program, will receive a total of 35 coupons (3,500 yen worth). This consists of 25 coupons (2,500 yen worth) under the current program, plus an additional 10 coupons for meeting the one-year continuous holding condition.
